General Terms and Conditions International Management Forum B.V. in Eindhoven, Also trading as IMF Academy

 

All our training courses are subject to our general terms and conditions. By registering, you agree to these terms. We therefore advise you to read them carefully before completing your registration.

1. Definitions

In the following, the terms shall mean:

1. Training conditions: the provisions and conditions laid down in the articles below which apply to the Training courses provided by/through IMF Academy.

2. IMF: International Management Forum B.V. also trading as IMF Academy.

3. Client: the (legal) entity on whose behalf IMF provides Training courses.

4. Training courses: All by IMF organized, published or certifying:
    a. Meetings, such as but not limited to in-class training, in-company training, (post-) higher                   professional/university education, live online seminars, workshops, masterclasses, and conferences.
    b. Distance learning and/or online courses.

5. Distance learning/online course: a form of training in which the participant studies the written/online course materials at their own pace and location, according to a predetermined schedule.

6. In-class training: a form of training in which participants from various organizations follow the same training with existing course materials and a fixed program. Participant/Client can attend an In-class training in person as well as, in many cases, live-online from a different location.

7. In-company training and/or coaching: a form of training organized in-house at the Client's request, possibly with a tailor-made program.

8. Online learning: a Written course made digitally available to the Client by IMF via the internet or another electronic means

2. General

These Training conditions apply to all agreements regarding the provision of Training courses by/through IMF. The Training conditions are published on the website and can be sent upon request.

3. Registration and Confirmation

1. Registration takes place by submitting a fully completed registration form by the Client via email, post, or the fully completed online registration form on the website. Registration can also take place by stating and/or confirming this in writing.

2. Upon receipt of the registration, IMF will immediately send a written confirmation of enrolment and an invoice. If the desired Training course is fully booked, this will be communicated, and an alternative will be sought.

4. Prices and payment

1. All prices are exclusive of VAT and other government-imposed fees, unless otherwise stated. For In-class trainings, the price includes course materials, lunch, coffee/tea, and training venue costs, unless otherwise indicated for the specific Training course.

2. The invoice amount must be paid before the start of the Training course, but always within 30 days of the invoice date, unless IMF has expressly agreed in writing to deviate in a specific case.

3. Prices and rates are based on the circumstances prevailing at the time the agreement was concluded. Should those circumstances change after conclusion, IMF reserves the right to adjust its prices accordingly. If prices increase by more than 15%, Client has the right to terminate the agreement.

4. If Client fails to (timely) fulfil their payment obligations, all reasonable collection costs, both judicial and extrajudicial, will be borne by Client. Extrajudicial costs will be calculated based on customary Dutch debt collection practices.

5. Liability

IMF's liability is limited to compensation for direct damages, meaning compensation for the value of the performance not delivered. There must be demonstrable actual damages. Except when required by law, all other liability is excluded. Any compensation payable by IMF shall never exceed the total amount already invoiced and paid under the relevant agreement. The provisions of Sections 6 and 7 of these terms and conditions remain in full effect.

6. Cancellation or Rescheduling by the Client

1. Client has the right to cancel the agreed Training course (except for and if applicable: exams, licence costs and any already provided study materials like books) in whole or in part. Cancellation must always be made in writing, with the cancellation date being the date IMF receives the written notice.

2. Client may replace a registered participant (except for and if applicable: exams and licence costs) with a colleague, provided IMF is notified in writing before the start of the Training course. No additional costs apply, except for costs already incurred for the original participant. The substituting participant must meet all entry requirements for the Training course.

3. For In-class trainings, Client may, up to 4 weeks before the start date of the specific Training course, reschedule participation to a later training date once, provided payment has already been made. This request must be submitted in writing.

4. For In-company training, the Client may, up to 4 weeks before the start date of the specific Training course, reschedule to a later date once, if possible, provided payment has already been made. This request must be submitted in writing.

5. For Distance learning/online courses, Client will incur 10% of the total fee for cancellation up to 4 weeks before the confirmed start date. Within 4 weeks of the start date, the full amount is due.

6. For In-class training (except for and if applicable: exams, licence costs and already provided study materials), the cancellation conditions as listed on the IMF website under Price/Registration apply for the specific Training course. On request, these can be provided. If no cancelation conditions are mentioned on the website of a specific Training course, the general IMF cancellation conditions apply. These are: For cancellations within 4 weeks of the start date of the Training Course, IMF charges 10% of the total fee. Between 4 and 2 weeks before the start of the specific Training course, 50% of the fee is charged. Within 2 weeks before the start of the specific Training course, the full fee is due.

7. For In-company training, cancellation up to 4 weeks before the start is free of charge, with the exception that reasonably incurred costs (at least all out-of-pocket costs) will be charged. For a cancellation within 4 weeks before the start of the specific Training course, the full invoice amount is due.

7. Changes or Cancellation by IMF

IMF reserves the right to make changes, such as adjustments to schedules, course times, or trainer substitutions, without providing reasons. IMF will make every effort to deliver the Training course as scheduled but accepts no liability if a Training course cannot take place or must be rescheduled or interrupted due to circumstances. In such cases, IMF will make reasonable efforts to complete the Training course at a later date or provide a suitable alternative. If this proves impossible, fees already paid will be refunded or not charged. IMF also reserves the right to cancel In-class trainings due to insufficient enrolment. In such cases, registered participants will be informed at least 5 working days before the start of the specific Training course. Any travel or accommodation commitments made by Client are at Client's own expense and risk.

8. Intellectual Property Rights

1. All intellectual property rights relating to course materials, software, additional documentation, and all other documents, materials, and information used and/or provided by IMF in the context of a Training course belong to IMF and/or its partner(s)/licensor(s).

2. Client is not permitted to reproduce, distribute, or otherwise use materials stated above in violation of IMF's and/or its partner(s)/licensor(s) intellectual property rights.

3. Participants/Clients receive a non-exclusive, non-transferable right of use of the course materials solely for the Training course. Subject to the above, participants/Clients may use the materials for their professional role in line with the purpose of the Training.

9. Applicable Law and Disputes

1. All legal relationships between Client and IMF are governed exclusively by Dutch law.

2. All disputes - including those deemed as such by one party only - that may arise from an agreement between the parties will be submitted to the competent Dutch court.

3. Before invoking section 2, the party shall notify the other party in writing of the dispute. The parties will then attempt to resolve the dispute amicably. Only if no solution is possible may either party proceed under section 2.

10. Online learning

1. For Online learning, IMF may grant the Client non-exclusive access to software applications.

2. Passwords, usernames, and other identification data provided by IMF to participants/Clients are individual and strictly personal. Sharing them with third parties is prohibited unless expressly agreed otherwise with IMF in writing.

3. The data referred to in section 2 are exclusively intended for Online learning. Client must handle them with utmost care and is liable for any consequences of careless or unlawful use.

4. Client is not permitted to reproduce, distribute, or disclose the digital course materials.

11. Online learning

The The Client agrees that the personal data provided to IMF, such as but not limited to, (work) address details, phone numbers, and email addresses, will be processed in IMF's (partially) automated administration. This data may be used for customer administration, access to (online) course materials, and (electronic) communication regarding Training courses and related IMF products and services.

In some (necessary) cases, your personal data may be shared with accreditation bodies, examination organizations, trainers, and/or partners, but only when required for a Training course. IMF ensures that your data are properly secured and treated confidentially.

Both Client and IMF shall comply with the obligations under the GDPR (see also IMF's Privacy Policy).
